Joint Venture & Shareholders' Agreements in Thailand

Agree how to part ways while you still want to work together

Most joint ventures begin with trust and end over something nobody agreed: who controls which decisions, what happens when capital is needed and one partner cannot pay, and who buys whom out — at what price — if the partners separate. We help choose the structure, draft agreements that answer those questions, and register the JV company with articles that match the contract.

What we cover

Choice of structure: a JV company, or a contractual JV without one
A lawful Thai–foreign shareholding structure
Joint venture agreements, shareholders' agreements and term sheets
Board rights, reserved matters and a deadlock mechanism
Share transfers, rights of first refusal and exit terms
Registering the JV company and aligning its articles with the agreement

Choosing the structure

A JV company suits long-term businesses: liability is separate and shares can be transferred. A contractual or unincorporated joint venture suits a specific project such as a tender, but liability to third parties and tax treatment differ, so the choice should follow the goal.

Thai and foreign partners

The foreign shareholding decides whether the company needs a Foreign Business Licence and whether it can hold land. Thai shareholders must genuinely invest — holding shares on someone else's behalf is an offence. We set up a lawful structure, or use investment promotion where it fits better.

What the agreement must answer

Each party's contribution, board seats, matters needing everyone's approval, what happens when a partner cannot fund a capital increase, ownership of intellectual property, and non-compete terms. These are easy to agree at the start and very hard once a problem has arrived.

Deadlock and exit

Equal partners often deadlock on important decisions. The agreement should set a deadlock procedure, rights of first refusal, tag-along and drag-along rights, a formula for pricing shares on exit, and arbitration for disputes.

The agreement must match the articles

Terms that sit in the agreement but not in the articles may not bind the company or third parties. We register the company and amend the articles to match the agreement in the same engagement.

Frequently asked questions about Joint Ventures & Shareholders' Agreements

6 questions answered

For businesses on the restricted lists of the foreign business law, foreigners must hold less than half unless the company obtains a licence, investment promotion or treaty rights; businesses outside the lists can be foreign-majority. Either way, Thai shareholders must genuinely invest, not hold shares on someone's behalf.
Yes — through a joint venture agreement or an unincorporated joint venture for a specific project, which suits time-limited work such as a tender. Tax treatment and liability to third parties differ from a company, so they need settling at the outset.
The articles are registered and bind the company; a shareholders' agreement binds those who sign it and can go into more detail, such as exit terms. The important points belong in both, and the two must not conflict.
If you form a company, a shareholders' agreement alongside the articles. If not, a joint venture agreement setting out contributions, profit sharing and how you separate. Template agreements rarely cover the exit — which is the clause most often used in practice.
It depends on the business. Where the activity is restricted, giving a foreign partner control through complex structures carries legal risk. Safer routes are a Foreign Business Licence, investment promotion or treaty rights where the partner qualifies.
Use the remedies the agreement provides — buy-out rights, penalties or termination — and shareholders' statutory rights, such as calling a meeting or challenging a resolution. Our litigation team can act where needed.
